The 'stock swap' is due to take place on April 1 (no foolin') with Hudson boss Michihiro Ishzuka leaving the board and Konami's Kazuhiko Uehara of Konami taking his place.
Konami want Hudson to start making games for the lucrative mobile market.
Konami also revealed plans to take over a second Japanese developer, Digital Golf.
